Position Overview

Ultimate Staffing is actively seeking a dedicated Contracts Manager to join their client's team in Oregon. This role involves working closely with the company President to review, prepare, and track contracts, aiming to address issues and improve systems.

Responsibilities:

Summary:

The Contracts Manager reviews, prepares, and tracks contracts, working closely with the company President to address issues and improve systems by performing the following duties:

  • Conducts preliminary review of contracts to identify gaps and areas of exposure for the company.
  • Facilitates contract review by various internal and external parties, partnering with an Executive when necessary to secure the appropriate changes.
  • Identifies risks and issues with contract documents while assessing terms and conditions on all assigned contracts.

Additional responsibilities include :

  • Obtains necessary information from relevant internal stakeholders and provides direction in drafting contracts under various delivery methods such as GC, CM, Design/Build, etc.
  • Prepares contracts for execution and tracks the execution process to ensure contracts are fully and properly executed.
  • Negotiates contractual terms, as necessary, to help mitigate risk.
  • Provides guidance and support to various internal parties regarding contract interpretation and clarification.
  • Collaborates with the President and outside legal counsel on contract-related questions and issues.
  • Develops and maintains internal processes regarding contracts, including the maintenance of contract files and the contract preparation process.
  • Maintains electronic and hard copy filing systems in line with company and department standards.
  • Reviews, comments, logs, and tracks a variety of contract and legal documents, including tracking agreement expiration dates.
  • Tracks the status of Master Subcontract Agreements, Master Purchase Orders, and various other contract types.
  • Supports the President and General Counsel with all aspects of litigation management and dispute resolution.
  • Reviews owner contracts to ensure bonding and insurance requirements are adequate for the specific project's risks and scopes of work.
  • Notifies the President when a Performance and Payment Bond is required, prior to execution of the contract.
  • Oversees the tracking, release, and payment of all bonds.
  • Works collaboratively in a team environment with a spirit of cooperation.
  • Respectfully takes direction from the President.
  • Maintains punctual, regular, and predictable attendance.
  • Maintains a professional appearance and demeanor.
  • Other duties as assigned.

Education & Experience:

  • Bachelor's degree (B.A.) from a four-year college or university preferred in Risk Management, Insurance, Business, or Finance. Law degree highly preferred.
  • Minimum of five to seven years of experience working in contract management, including drafting, revision, and negotiation of construction contracts and subcontracts. Some in-house legal department experience is desirable.
  • Basic understanding of contracts concepts is mandatory, and a basic understanding of indemnification and insurance concepts is preferred.
  • Must have excellent phone etiquette and verbal communication skills and be able to speak effectively before groups of customers or employees of the organization.
  • Ability to read and interpret documents; to write routine reports and correspondence including memos, emails, and other documents.
  • Ability to communicate effectively and professionally with, and persuade customers and other stakeholders, by e-mail, telephone, and contract craftsmanship.

Additional Details:

This position is a supervisory role with a salary range of $120,000 to $165,000 per year, negotiable for the right candidate.
