Schedule: Hybrid - 3 days on-site/2 remote after 30-day training period

Salary: $100,000-$125,000

Job Description:

LHH Recruitment Solutions is partnering with a boutique law firm to identify an experienced Senior Corporate Paralegal to join their team in Lake Oswego, Oregon. This position supports corporate governance, compliance, and transactional matters for a sophisticated client base. The ideal candidate is highly organized, self-directed, and comfortable managing complex entity maintenance and transactional support with minimal supervision in a fast-paced environment.


Responsibilities:

  • Prepare and maintain corporate governance documents and entity records
  • Draft corporate and subsidiary resolutions and minutes, including officer/director elections and other actions requiring formal approval
  • Assist with entity formations, conversions, mergers, dissolutions, foreign qualifications, withdrawals, annual filings, and charter amendments (primarily DE, OR, and CA)
  • Prepare and file Delaware franchise tax reports via DCIS
  • Support mergers and acquisitions and private financing transactions, including due diligence, disclosure schedules, closing checklists, and signature trackers
  • Prepare and file UCC financing statements, amendments, and terminations
  • Prepare and submit Form D filings via EDGAR and related state notice filings via EFD (NASAA)
  • Assist with EDGARNext enrollment and ongoing securities compliance filings
  • Draft and file IRS forms, including EIN applications, 83(b) elections, S Elections, and QSub Elections
  • Manage and maintain electronic equity platforms, including Carta and Pulley
  • Liaise directly with clients to ensure compliance with state and federal corporate and securities regulations
  • Conduct legal research related to securities, corporate governance, and compliance matters
  • Support additional firm initiatives and administrative projects as needed


Qualifications:

  • 5+ years of corporate paralegal or legal assistant experience in a law firm or in-house corporate legal department
  • Strong experience with Delaware franchise tax filings and multi-state corporate compliance
  • Experience supporting M&A transactions and private note or stock financings
  • Familiarity with EDGAR, EFD (NASAA), EDGARNext enrollment, and securities filings
  • Experience with equity management platforms such as Carta and Pulley
  • Proficiency with Microsoft Office Suite and Adobe Acrobat
  • Strong organizational skills, attention to detail, and ability to manage multiple priorities independently
  • Excellent written and verbal communication skills
